Terms and Conditions

1. Agreement Overview:
1.1 These terms and conditions constitute a legal agreement between Ad Shots Digital Studio Limited, hereinafter referred to as the “Service Provider,” and the client engaging in photographic retouching services, hereinafter referred to as the “Client.”

2. Scope of Services:
2.1 The Service Provider agrees to provide photographic retouching services to the Client as outlined in the agreed-upon project specifications.
2.2 Any additional services requested by the Client that fall outside the initially agreed scope may incur extra charges, to be mutually agreed upon by both parties.

3. Client Responsibilities:
3.1 The Client is responsible for providing clear and high-resolution images for retouching.
3.2 The Client must communicate specific retouching requirements and preferences clearly before the commencement of the project.
3.3 The Client shall review the retouched images and provide feedback within a reasonable timeframe.

4. Delivery:
4.1 The retouched images will be delivered to the Client in the agreed-upon format and method.
4.2 The delivery timeline will be specified in the project agreement. Delays caused by the Client’s failure to provide necessary information or feedback may result in an adjusted timeline.

5. Payment:
5.1 Payment terms and rates will be outlined in the project agreement.
5.2 The Client agrees to pay the Service Provider in accordance with the agreed-upon payment schedule.
5.3 Late payments may incur interest charges.

6. Revisions:
6.1 The Client is entitled to a reasonable number of revisions as specified in the project agreement.
6.2 Additional revisions beyond the agreed-upon number may incur extra charges.

7. Intellectual Property:
7.1 The Client retains the intellectual property rights to the original images provided for retouching.
7.2 The Service Provider retains the intellectual property rights to the retouched images.

8. Confidentiality:
8.1 Both parties agree to keep confidential any sensitive information shared during the course of the project.

9. Termination:
9.1 Either party may terminate the agreement with written notice in case of a material breach by the other party.
9.2 Upon termination, the Client shall pay for any completed work and expenses incurred up to the termination date.

10. Liability:
10.1 The Service Provider is not liable for any loss or damage resulting from the use of the retouched images.
10.2 The Client is responsible for obtaining any necessary permissions or licenses for the use of the original images.

11. Governing Law:
11.1 This agreement shall be governed by and construed in accordance with the laws of England & Wales and the Parties hereby irrevocably submit to the non-exclusive jurisdiction of the courts of England & Wales.

12. Changes to Terms:
12.1 The Service Provider reserves the right to update or modify these terms and conditions with notice to the Client.

13. Acceptance:
13.1 By engaging in the photographic retouching services, the Client acknowledges and agrees to these terms and conditions.
